This announcement has been prepared with reference to the Pre-listing Statement issued by RFG dated 15 September 2014 and the announcement released on SENS on the same day, regarding the private placement by way of an Offer for Subscription by RFG and the concurrent Offer for Sale by the Selling Shareholders of Ordinary Shares, subject to certain conditions. This Pre-listing Statement relates to a private placement by way of an offer for subscription by RFG to raise R600 million , and a concurrent offer for sale by the Company’s existing shareholders (the “Selling Shareholders”), of up to 99 892 857 Offer Shares (placed within the Offer Price Range) (the “Offer”). The Offer Shares comprise up to 57 142 857 new Subscription Shares and 42 750 000existing Sale Shares. In addition, Capitalworks will grant to the Stabilisation Manager an Overallotment Option to purchase for resale up to 9 989 286 Overallotment Shares (at the Offer Price), which may be used for the purposes of covering overallotments before the end of the Stabilisation Period. Minister of Trade and Industry, Rob Davies, delivered the keynote address while Chef Lentswe Bhengu demonstrated how to prepare delicious and healthy meals using Rhodes Foods canned products.
